The legal bit
Terms of Sale
Last updated: 17 August 2026
These terms cover the StudyBrain product. Your purchase itself is handled by Paddle, our merchant of record. Section 7 is the refund policy.
1. Who we are
StudyBrain is a product of StudyBrain Ltd, a company registered in England and Wales under company number 17385067, with its registered office at 10 Ellesmere Road, Manchester, M30 9FH. In these terms, "we", "us" and "our" mean StudyBrain Ltd. "You" means the person buying StudyBrain.
You can reach us at hello@studybrain.ai.
2. About these terms, and about Paddle
When you buy StudyBrain at studybrain.ai, two sets of terms work together:
- Paddle's terms cover the purchase itself. Our checkout is operated by Paddle, who act as merchant of record. That means Paddle is the legal seller of the transaction: they take your payment, issue your receipt, and collect and account for VAT or sales tax wherever you are. Paddle's checkout terms govern the payment, and your statutory rights in respect of the sale run against Paddle as seller. Paddle also processes the annual Common Room renewal described in section 12.
- These terms cover the product. Your licence to use StudyBrain, what it does, our 14-day guarantee, The Common Room, support, and everything else in this document, is between you and StudyBrain Ltd.
Please read these terms before you buy. By completing your purchase you agree to them.
Nothing in these terms affects your legal rights as a consumer. If any part of these terms conflicts with your statutory rights, your statutory rights win.
3. What StudyBrain is
StudyBrain is a downloadable set of files, instructions and guides that configure Claude, an AI assistant made by Anthropic, into a study system for a named student: subject folders, study routines, revision planning, quizzing and marking, built around the student's own subjects and exam board or course.
StudyBrain is not software in the usual sense. It does not install a program and it does not run on its own. It is a set of instructions that Claude follows.
StudyBrain Ltd is independent. We are not affiliated with, endorsed by or partnered with Anthropic.
4. Age, and who runs StudyBrain
Claude's terms require account holders to be 18 or over. StudyBrain is designed for a parent to run. You operate it, your teenager gets the output. Anthropic can suspend accounts that don't comply.
In practice this means:
- The Claude account used with StudyBrain must belong to an adult aged 18 or over.
- That adult operates it. They are the person at the keyboard.
- The student sits with them, answers the questions about their subjects, and uses everything StudyBrain produces: the study sheets, marked answers, quizzes and revision plans.
- StudyBrain's setup asks for the account holder by name at the start, and stops and waits if a student begins setup on their own.
If you are 18 or over and studying for yourself, you are both the account holder and the student, and none of the above adds a step for you.
You are responsible for how the Claude account in your name is used. We cannot control, and are not responsible for, decisions Anthropic makes about accounts that do not comply with their terms.
5. What you need before you buy
StudyBrain works with Claude and does nothing without it. To use StudyBrain you need:
- A paid Claude subscription held by an adult aged 18 or over, bought separately from Anthropic at their price. We do not set that price and it can change.
- A Windows or Mac computer.
We do not sell Claude, we are not connected to Anthropic, and we receive nothing from your subscription. If you cancel or lose your Claude subscription, StudyBrain stops working, and that is not a fault in StudyBrain.
6. Price, payment and delivery
The price is shown at checkout in your local currency. It is a single payment for the kit, and it includes your first 12 months of The Common Room, our members' content area described in section 12. The amount shown at checkout is the amount you pay, including any VAT or sales tax, which Paddle collects and accounts for as merchant of record.
After the first 12 months, The Common Room continues at £12 a year unless you cancel. Section 12 explains exactly how that works, including the reminder we send before any renewal and how to cancel in a couple of clicks. There is no other recurring charge from us. The Claude subscription you need to run StudyBrain is separate, ongoing, and paid to Anthropic.
Delivery. Once your payment is confirmed, we email a sign-in link to the email address you bought with, normally within a few minutes. We do not send the files as attachments. That link signs you straight into your account at studybrain.ai, where My Kit holds your kit download, the Setup Guide and the Cheat Sheet, along with every fix we release, all available to download whenever you need them again (sections 11 and 12). The link works for seven days; after that, sign in at any time with your email address and we will send you a code. If nothing arrives within an hour, check your spam folder, then email hello@studybrain.ai and we will sort it.
7. Our 14-day money-back guarantee
If StudyBrain is not right for you, tell us within 14 days of purchase and we will refund you in full. No reason needed, no conditions, no forms to argue over. It applies whether or not you have downloaded or used the kit.
To claim, email hello@studybrain.ai from the address you bought with, or use the contact details on your Paddle receipt. The refund is processed by Paddle back to your original payment method.
A refund under this guarantee is a refund of the full purchase price, which includes your first year of The Common Room. Once the refund is made, your licence, your account and your Common Room access end, and nothing renews.
This guarantee is a promise from us on top of your legal rights, not instead of them.
8. Your legal rights
Your 14-day cancellation right. Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, distance purchases normally carry a 14-day right to cancel. For digital content supplied straight away, that right ends once supply begins, provided you have expressly agreed to immediate supply and acknowledged losing the right to cancel. The checkout asks for that agreement before your download is released. Because our guarantee in section 7 gives you the same 14 days back unconditionally, agreeing does not cost you anything in practice: you are covered either way.
Faulty digital content. Under the Consumer Rights Act 2015, digital content must be of satisfactory quality, fit for purpose and as described. If StudyBrain is not, you are entitled to a repair or replacement, or a price reduction which can be up to the full price. Nothing in these terms limits those rights.
9. Your licence
When you buy StudyBrain, we give you a personal, non-exclusive, non-transferable licence to use it within your own household, for as many students living in that household as you like. The same licence covers everything you download from The Common Room and from your My Kit area.
You may not:
- Resell, rent, sub-licence or give away StudyBrain or any part of it.
- Share the download link, the files or the zip with anyone outside your household.
- Share your account sign-in, or Common Room content, with anyone outside your household.
- Use StudyBrain to deliver paid tutoring, teaching or any other commercial service to people outside your household.
- Publish, republish or distribute the guides, prompts or instructions, in whole or in substantial part.
You may modify the files inside your own copy. That is how the product is designed to work, and doing so does not void your licence, but we cannot support a copy that has been substantially altered.
If you breach this licence, we may end it. See section 16.
10. What StudyBrain does not do
StudyBrain is built to coach, not to produce work for submission. It is designed to refuse to write essays, homework and coursework, and to protect coursework and non-examined assessment components in particular.
This is a design feature and we stand behind the design. It is not a warranty, and we do not promise it is impossible to circumvent. StudyBrain is a set of instructions given to an AI, and you can change those instructions inside your own copy. Responsibility for how a student uses StudyBrain, and for complying with their school, college or university's rules on AI use, rests with you and the student.
We make no promise about grades, results or academic outcomes. Nothing on our website or in our materials should be read as a guarantee of improved performance.
StudyBrain is not a counsellor, a therapist or a substitute for a teacher. It is built to point students towards a trusted adult and the appropriate UK helplines on anything serious, and it should never be relied on as support in a crisis.
11. Updates: fixes, new content and expansion packs
Your kit is yours forever. That is an ownership promise: your licence under section 9 does not expire, and the files stay yours whatever happens with updates. Updates themselves work like this:
- Fixes and corrections are free for at least 24 months from your purchase. If something in the kit is broken, wrong, or stops working because Anthropic changes Claude, we fix it, and the fix is free. Compatibility updates that keep the kit you bought working count as fixes. We intend to keep supporting the kit for as long as we sell it, and we expect to go well beyond 24 months, but the commitment we make to you in these terms is the 24 months. Every fix we release is available in the My Kit area of your account (section 12), whether or not you subscribe to The Common Room, and fixes released during your 24 months stay available to you after it.
- New content is delivered through The Common Room. New prompts, new agents, tips, seasonal packs and walkthroughs are additions to the kit, not repairs to it. They are available to you while you have Common Room access (section 12).
- Expansion packs are separate products. Occasionally we may build packs that go beyond studying, for example driving theory or travel planning. These are separate paid products with their own price. Neither buying StudyBrain nor subscribing to The Common Room includes them.
We may change or remove features between versions. We will not remove a feature that was central to what you bought without offering you a refund.
12. The Common Room, and your account
Your account. Buying StudyBrain gives you an account at studybrain.ai. There is no password: you sign in with the email address you bought with, and we send a one-time code or sign-in link to that address. Your account includes a My Kit area holding your kit download and every fix we release. My Kit is yours for as long as we operate the product, whether or not you subscribe to The Common Room.
What The Common Room is. The Common Room is a members-only content library on our website: new prompts, new agents, tips, seasonal packs and walkthroughs, added over time. It is read-only. There are no posts, no comments, no messaging and no member-to-member contact of any kind. Members cannot see who else is a member. The one thing you can send is a suggestion to us, through a form that goes to StudyBrain only. It is not a forum, a chat room or a social platform, and that is deliberate: nobody, and no student, can ever be contacted through it.
Your first year is included. Your StudyBrain purchase includes your first 12 months of The Common Room. It is part of the product you buy for the single price at checkout. There is no separate or additional charge for it when you buy.
Renewal. After your included 12 months, The Common Room continues as a subscription at £12 a year (or the local-currency equivalent shown at checkout), billed annually through Paddle, unless you cancel first. By completing your purchase you agree to this renewing subscription; the checkout states the renewal price and timing before you pay.
We remind you before we charge you. Before every renewal, including the first, we email you twice, four weeks and two weeks in advance, each time with the price, the renewal date, and a cancellation link.
Cancelling is as easy as joining. You can cancel at any time using the link in your account area or the link in any reminder email. It takes a couple of clicks. No phone call, no forms, no cancellation fee. If you cancel, you keep Common Room access until the end of the period already covered (your included year, or the year you last paid for), and nothing is charged after that.
Cancelling never touches your kit. Ending your Common Room subscription does not affect your kit, your licence, or your access to fixes in My Kit. If a renewal payment fails, your Common Room access ends at the end of the current period; your account and My Kit stay.
13. Support
Support is by email at hello@studybrain.ai, and through the group setup sessions advertised on our website.
Support covers: installing StudyBrain, getting setup to run, and things that are not working as described in the guide.
Support does not cover: teaching subject content, general Claude or computer problems unrelated to StudyBrain, problems with your Claude subscription (those go to Anthropic), or copies of StudyBrain that have been substantially altered.
Our website also offers an automated AI assistant for quick questions about the kit. It is a convenience, not a substitute for support: how it works is set out in our Website Terms of Use, its answers can be wrong, and hello@studybrain.ai always remains available and always wins.
We do not provide one-to-one sessions with students. Support is with the adult account holder, by email, or in a group session. Our setup sessions are one-way broadcasts: you watch our screen, your camera and microphone stay off, and questions come through the text chat.
14. Our responsibility to you
We are responsible for loss or damage you suffer that is a foreseeable result of us breaking these terms or failing to use reasonable care and skill. We are not responsible for loss or damage that is not foreseeable.
Except where the next paragraph applies, our total liability to you is limited to the amount you paid for StudyBrain.
We do not exclude or limit our liability where it would be unlawful to do so. That includes liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, and for any of your statutory rights as a consumer.
We are not liable for academic outcomes, examination results, or any decision made by a school, college, university or examination board about a student's work.
15. Claude is a third-party service: things outside our control
Your Claude account is your contract with Anthropic, not with us. Claude is made and operated by Anthropic. Your Claude subscription is a separate agreement between the account holder and Anthropic, governed by Anthropic's Consumer Terms and Usage Policy, published at anthropic.com, and worth reading. We are not a party to that agreement. We have no control over, and no responsibility for, Anthropic's prices (including price rises), features, availability, terms, the behaviour of its models, or its decisions about individual accounts. Anthropic can change any of these at any time, without reference to us.
If Anthropic suspends or closes your account. If Anthropic suspends or terminates the Claude account you use with StudyBrain, for any breach of Anthropic's terms, including the age rules described in section 4, that is a matter between the account holder and Anthropic. We cannot contact Anthropic on your behalf and we cannot get an account back, because we are not a party to that account. Using Claude irresponsibly has consequences that sit entirely outside our control, which is one reason StudyBrain is designed for an adult to run. Our help content in your account area explains how to contact Anthropic if you need to.
If Claude changes. Where Anthropic changes Claude in a way that reduces how well StudyBrain works, we will do what we reasonably can to adapt the kit and will tell you what has changed. Compatibility fixes of that kind are our section 11 commitment, free for at least the 24 months described there.
If Claude is withdrawn or this use of it is blocked. Section 11 commits us to adapting the kit when Claude changes. It does not commit us to rebuilding StudyBrain on a different AI service. If Anthropic withdraws Claude, blocks or restricts the kind of use StudyBrain makes of it, or otherwise makes the kit impossible to operate on Claude, the fixes commitment does not extend to recreating the product elsewhere, and, subject always to section 14, we are not liable to you for the kit becoming unusable for that reason.
Your guarantee is untouched by all of this. Within 14 days of purchase, section 7 gives you a full refund whatever the reason, including anything Anthropic does. Outside that window, a change made by Anthropic, including a price rise, a feature or service being withdrawn, or an account being suspended, is not by itself a fault in StudyBrain and is not a reason for a refund.
16. Ending this agreement
You can stop using StudyBrain at any time by deleting your copy, and you can cancel The Common Room at any time under section 12.
We may end your licence if you seriously or repeatedly breach section 9, in particular by reselling or distributing StudyBrain or Common Room content. If we do, we will tell you by email, you must delete all copies, and your account and any Common Room subscription end with it. We will not refund you in that case, and nothing further is charged.
17. Your information
Paddle collects your payment details as merchant of record; we receive your name, email address, country and subscription status so we can deliver StudyBrain, run your account, provide support and tell you about updates. Signing in to your account works by a code or link emailed to you; our Privacy Policy explains the small amount of data involved in that, in the suggestions form, and in the AI assistant, and what we never collect.
StudyBrain runs entirely on your own computer. It does not send us your student's name, subjects, notes, results or anything else they produce, and we never see any of it.
18. Changes to these terms
We may update these terms. The version that applies to your purchase is the one published when you bought. For The Common Room subscription, if we make a change that is to your disadvantage, including any change to the renewal price, we will tell you by email before your next renewal so you can cancel first. We will publish the date of the last update at the top.
19. Law and disputes
These terms are governed by the law of England and Wales, and you can bring legal proceedings in the courts of England and Wales. If you live in Scotland or Northern Ireland, you can also bring proceedings in your own courts.
If you are unhappy with something, please email us first at hello@studybrain.ai. We would rather fix it than argue about it.
